Terms & Conditions

1. Acceptance of Terms

By accessing or using the kredHR platform ("Service") operated by Truedge Technology ("Company", "we", "us", or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all the terms and conditions of this agreement, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after any such changes shall constitute your consent to such changes.


2. Description of Services

kredHR provides cloud-based Human Resource Management Software (HRMS) including but not limited to:

• Payroll processing and management • Leave and attendance management • Performance management tools • Employee Self Service (ESS) portal • Onboarding and offboarding workflows • Compliance and statutory reporting • Analytics and reporting dashboards

The Service is provided on a subscription basis. Features available to you depend on the subscription plan you have purchased.


3. Account Registration & Responsibilities

To use the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration • Maintain and promptly update your account information • Keep your password secure and confidential • Accept responsibility for all activities that occur under your account • Notify us immediately of any unauthorized use of your account

You must be at least 18 years of age to use this Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years of age.


4. User Obligations

You agree not to use the Service to:

• Violate any applicable laws or regulations • Infringe upon the intellectual property rights of others • Transmit any harmful, offensive, or unlawful content • Attempt to gain unauthorized access to any part of the Service • Interfere with or disrupt the integrity or performance of the Service • Use the Service for any competitive intelligence or benchmarking purposes without our prior written consent • Resell, sublicense, or otherwise transfer your access to the Service to any third party

You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations, including data protection and employment laws applicable to your jurisdiction.


5. Data and Privacy

By using the Service, you may provide us with personal data relating to your employees and other individuals ("Employee Data"). You represent and warrant that you have obtained all necessary consents and authorizations to provide such data to us.

We act as a data processor with respect to Employee Data, processing it solely on your instructions and in accordance with our Privacy Policy. You remain the data controller responsible for compliance with applicable data protection laws.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Truedge Technology and its licensors. The Service is protected by copyright, trademark, and other laws of India and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Truedge Technology.

You retain ownership of all data and content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, and process such content solely to provide and improve the Service.


7. Subscription and Payment

The Service is offered on a subscription basis. Subscription fees are billed in advance on a monthly or annual basis depending on your plan. All fees are non-refundable except as expressly set forth in these Terms.

We reserve the right to change our pricing at any time. If we change pricing for your subscription plan, we will provide at least 30 days prior notice. Your continued use of the Service after the price change becomes effective constitutes your agreement to pay the updated amount.

Failure to pay subscription fees may result in suspension or termination of your access to the Service.


8. Limitation of Liability

To the maximum extent permitted by applicable law, Truedge Technology shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Service • Any conduct or content of any third party on the Service • Any content obtained from the Service • Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims exceed the amount you paid us in the twelve (12) months preceding the claim.


9. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service or contact us at contactus@truedge.tech.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.


10. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
